Channel Partner Agreement (CPA)
This Channel Partnership Agreement ("Agreement") is entered into as of [Effective Date], by and between:

Together, the "Parties."
1. Purpose
This Agreement defines the commercial terms under which Channel Partner is authorized to Resell or Distribute Synergy Products and Professional Services. This Agreement is governed by and incorporates:
- Synergy’s Reseller and Distribution Terms
- Synergy’s Channel Partner Data Processing Agreement
- Synergy’s End Customer Agreement
In case of conflict, Section 14.8 (Order of Precedence) of the Reseller and Distribution Terms applies.
2. Territory
Channel Partner is authorized on a non-exclusive basis to Resell or Distribute Products and Professional Services in the following Territory:

3. Authorized Products and Services
Channel Partner is authorized to Resell/Distribute the following:
- SynergyOS Cloud
- SynergyOS Enterprise Cloud
- SynergyOS Enterprise Server
- Professional Services (training, consulting, implementation)
4. Discount and Pricing Terms
Channel Partner shall receive the following discounts off Synergy’s then-current MSRP:

MSRP is published at https://docs.synergyos.com/pricing and may be updated by Synergy at its discretion. Standard discounts listed above may be reviewed and revised annually by Synergy, with at least thirty (30) days prior written notice provided to Channel Partner of any adjustments.
4.2 Custom Pricing
Synergy may, at its discretion, offer custom pricing for specific opportunities, which overrides standard discounts.
5. Payment Terms
Channel Partner shall pay all invoiced amounts within thirty (30) days of invoice date (Net 30), per Section 3 of the Reseller and Distribution Terms.
6. Support Obligations
Unless otherwise explicitly agreed in writing by Synergy, Channel Partner shall provide first-level support to End Customers. First-level support includes:
- Basic troubleshooting and problem diagnosis
- Assistance with account and access-related queries
- General product usage and functionality questions
Synergy may provide technical training to Channel Partner personnel upon request.

8. Governing Law and Jurisdiction
This Agreement shall be governed by the laws of the State of New York, USA. Any disputes arising under or relating to this Agreement shall be subject to the exclusive jurisdiction of the state or federal courts located in New York City, New York.
9. Effective Date and Term
This Agreement is effective as of the Effective Date and remains in force until terminated in accordance with the Reseller and Distribution Terms.
